The fine print - written to be read.

1. Definitions

In these Terms, the following definitions apply:

• "Platform" means the TradeMire web application, APIs, mobile applications, and any associated software or services.
• "Account" means the personal user account created to access the Platform.
• "Exchange" means any third-party cryptocurrency exchange connected to the Platform via API.
• "API Key" means the authentication credentials used to connect your Exchange account(s) to the Platform.
• "Bot" means any automated trading strategy, signal, or algorithm configured and executed through the Platform.
• "Subscription Plan" means the selected tier of service (Explorer, Silver, Gold, or Platinum) and associated features.
• "Vault" means a portfolio view on the Platform that mirrors and reflects assets held in your own exchange accounts; TradeMire does not hold, custody, or control any user funds.
• "User Content" means strategies, configurations, custom indicators, and other data created by you on the Platform.
• "Third-Party Services" means any external service, exchange, data feed, or software integrated with or accessible through the Platform.

2. Eligibility

To use TradeMire, you must: (a) be at least 18 years old or the age of legal majority in your jurisdiction; (b) have the legal capacity to enter into binding agreements; (c) not be a resident of or located in a jurisdiction where the use of cryptocurrency trading platforms are prohibited; (d) not be subject to any economic sanctions or trade restrictions imposed by the European Union, United Nations, United States (OFAC), United Kingdom, or any other applicable jurisdiction.

By registering an account, you represent and warrant that all of the above conditions are met. If any condition ceases to be true, you must immediately discontinue use of the Platform and notify us.

3. Account Registration and Security

To access certain features, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration and maintain its accuracy.
• Create a strong, unique password and enable multi-factor authentication (MFA) where available.
• Maintain the confidentiality of your Account credentials and API Keys at all times.
• Not share your Account with any third party or allow others to access it, including but not limited to sharing API credentials or creating accounts for automated use.
• Notify us immediately at security@trademire.ai upon discovering any unauthorized use or security breach.
• Accept sole responsibility for all activities conducted under your Account, whether authorized or not, except to the extent resulting from TradeMire's breach of these Terms, negligence or willful misconduct.
• You may not use the Platform to manage third-party cryptocurrency holdings or funds without explicit disclosure and applicable regulatory authorization.

4. Description of Services

TradeMire provides a software-as-a-service (SaaS) platform for cryptocurrency trading analytics, portfolio management, automated strategy planning, and computing infrastructure. Our services include, but are not limited to: market data aggregation, algorithmic trading bots, portfolio tracking, vault portfolio mirroring, backtesting and optimization tools, technical indicators, alert systems, and API integrations.

TradeMire is an overlay technology provider. We provide software tools that enable you to analyze market information, develop strategies, and automate interactions with third-party venues connected by you. We do not custody, hold, or manage your funds. Your assets remain on your connected Exchange(s) at all times. We do not provide financial advice, investment recommendations, or brokerage services. All trading decisions are yours alone. TradeMire does not exercise investment, trading, execution or portfolio management discretion with respect to your assets.

5. Exchange Connections and API Keys

To enable trading activity through connected venues, you must connect one or more Exchange accounts via API Keys. You acknowledge and agree to the following:

• API Keys must be configured with trade-only permissions. We strongly recommend disabling withdrawal permissions on all connected keys. You authorize TradeMire to perform only those actions permitted by the API permissions that you grant.
• You are solely responsible for the security of your API Keys. TradeMire employs commercially reasonable administrative, technical, and organizational safeguards designed to protect API credentials.
• TradeMire is not responsible for the availability, performance, security, policies, or actions of any connected Exchange.
• If an Exchange suspends, restricts, or terminates your account, TradeMire bears no liability for any resulting losses.
• You must comply with the terms of service of each connected Exchange in addition to these Terms.
• Upon disconnecting an Exchange from the Platform, your API Keys are immediately and permanently deleted from our systems.

6. Subscription Plans, Fees, and Payment

Certain features require a paid Subscription Plan. Current pricing is displayed on our pricing page. You agree to the following:

• Fees are charged in advance on a monthly or annual basis, depending on your selected billing cycle.
• Subscription Plans renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal.
• Prices may be updated with at least 30 days' written notice. Continued use after the effective date constitutes acceptance.
• All fees are exclusive of applicable taxes (VAT, GST, etc.) which will be added where required by law.
• Payments are processed through third-party payment providers. TradeMire does not store your payment card details.
• Refunds are not granted as a general policy. Exceptions may be made at our sole discretion for documented technical failures directly attributable to the Platform. Nothing in these Terms affects any mandatory refund rights under applicable law.
• Failure to pay may result in suspension or termination of your access to paid features.

7. Free Trial

We may offer free trial periods for paid Subscription Plans at our discretion. Trial duration, terms, and eligible features may vary. Unless you cancel before the trial ends, your selected Plan will automatically convert to a paid subscription. We reserve the right to modify or discontinue trial offers at any time without notice.

8. Automated Trading and Risk Acknowledgment

BY USING THE PLATFORM'S AUTOMATED TRADING FEATURES, INCLUDING BUT NOT LIMITED TO BOTS, STRATEGIES, VAULTS, AND SIGNAL-BASED AUTOMATION, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

Cryptocurrency trading involves substantial risk of loss. Markets are highly volatile, operate 24/7, and can experience rapid, unpredictable price movements. You may lose some or all of your invested capital.

Past performance of any strategy, bot, or vault - whether provided by TradeMire or third parties - does not guarantee future results.

Automated trading systems may malfunction, generate unintended trading instructions based on outdated or erroneous data, or behave unexpectedly during periods of extreme market volatility, low liquidity, or exchange downtime.

TradeMire does not guarantee any level of trading performance, profit, or return on investment. We are not liable for any trading losses, missed opportunities, or adverse outcomes resulting from the use of our automated tools. TradeMire does not represent that any AI-generated output constitutes optimal execution, best execution, investment advice, or a recommendation to transact.

You are solely responsible for configuring, monitoring, and managing your trading strategies. It is your responsibility to set appropriate risk parameters, stop-loss levels, and position sizes.

9. Acceptable Use and Prohibited Activities

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws. You must not:

• Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
• Engage in market manipulation, wash trading, spoofing, layering, front-running, or any form of fraudulent or deceptive trading activity.
• Use the Platform to manage, trade, or otherwise handle cryptocurrency holdings belonging to third parties without proper regulatory authorization.
• Attempt to gain unauthorized access to any part of the Platform, other user accounts, servers, or systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform.
• Introduce malicious software, viruses, or any code designed to interfere with the Platform's operation.
• Use the Platform in a manner that could overload, damage, or impair our infrastructure or interfere with other users.
• Circumvent, disable, or interfere with any security, rate-limiting, or access control features.
• Scrape, harvest, or extract data from the Platform through automated means except via our authorized APIs.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

10. Intellectual Property and License

All intellectual property rights in the Platform - including software, algorithms, machine learning models, designs, trademarks, trade names, documentation, and all underlying technology - are and remain the exclusive property of TradeMire.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to sublicense, resell, redistribute, or create derivative works from any part of the Platform.

User Content (strategies, configurations, custom indicators) that you create on the Platform remains your intellectual property. By uploading User Content, you grant TradeMire a limited, non-exclusive license to host, store, and process such content solely for the purpose of delivering the services to you.

11. Third-Party Services and Marketplace

The Platform may integrate with or provide access to Third-Party Services, including cryptocurrency exchanges, signal providers, data feeds, and marketplace offerings. You acknowledge that:

TradeMire does not control, endorse, or assume responsibility for any Third-Party Service. Their availability, accuracy, legality, or quality is beyond our control. TradeMire does not review, verify, endorse, monitor, or guarantee the performance of third-party strategies, signals, or content.

Your use of Third-Party Services is governed by their own terms, policies, and agreements. You are responsible for reviewing and complying with those terms.

Any content, signals, strategies, or recommendations provided by third parties through the Platform do not constitute financial advice from TradeMire.

TradeMire is not liable for any losses, damages, or claims arising from your use of or reliance on Third-Party Services.

12. Service Availability and Maintenance

We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. The Platform is provided on an "as available" basis.

We may perform scheduled or emergency maintenance, updates, or modifications that temporarily affect access. We will make reasonable efforts to provide advance notice of planned downtime.

TradeMire is not liable for any losses resulting from service interruptions, whether caused by maintenance, infrastructure failures, exchange outages, network issues, or circumstances beyond our control.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will meet your requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) any results or data obtained through the Platform will be accurate or reliable; (d) any defects in the Platform will be corrected.

Cryptocurrency markets rely on insufficiently tested technology and are subject to rapid change. We make no representations regarding the suitability, reliability, or accuracy of the Platform for any specific trading strategy or investment objective.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEMIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF TRADING OPPORTUNITIES, LOSS OF CRYPTOCURRENCY OR DIGITAL ASSETS, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO TRADEMIRE DURING UP TO TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if TradeMire has been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or death/personal injury caused by our negligence.

15. Indemnification

You agree to indemnify, defend, and hold harmless TradeMire, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; (e) any User Content you create or upload; (f) your trading activities conducted through the Platform.

16. Sanctions and Regulatory Compliance

By using the Platform, you represent and warrant that you are not: (a) listed on any sanctions list maintained by the European Union, United Nations, United States (OFAC SDN List), United Kingdom (HM Treasury), or any other applicable sanctions authority; (b) owned or controlled by any sanctioned person or entity; (c) located in or a resident of any country subject to comprehensive sanctions (including but not limited to North Korea, Iran, Syria, Cuba, and the Crimea region).

If at any time you become subject to sanctions or reside in a sanctioned jurisdiction, you must immediately cease using the Platform and notify us. TradeMire reserves the right to suspend or terminate accounts to comply with applicable sanctions laws without prior notice or liability.

17. Data Processing

Your personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. For data protection inquiries, contact our Data Protection Officer at dpo@trademire.ai.

18. Force Majeure

TradeMire shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, civil unrest, government actions, exchange outages, blockchain network congestion or forks, internet or telecommunications failures, power outages, cyberattacks, or regulatory changes. We will make reasonable efforts to notify affected users and resume normal service as soon as practicable.

19. Term and Termination

These Terms are effective from the date you first access or use the Platform and remain in effect until terminated.

• You may terminate your Account at any time via the Platform settings or by contacting support@trademire.ai. Active subscription periods are non-refundable upon voluntary termination.
• We may suspend your Account immediately if we reasonably believe you are in breach of these Terms, engaged in prohibited activities, or if required by law or regulatory authority. We may also suspend access where reasonably necessary to protect the security, integrity, or availability of the Platform or other users.
• We may terminate your Account with 14 days written notice for any reason, including discontinuation of the Platform.
• Accounts inactive for 24 consecutive months may be terminated after a 30-day notice period.
• Upon termination: (a) your license to use the Platform ceases immediately; (b) you must disconnect all Exchange API Keys; (c) we will make commercially reasonable efforts to allow data export for 30 days; (d) provisions that by their nature should survive termination (including Sections 8, 10, 13-16, 20) shall survive.

20. Dispute Resolution

In the event of a dispute arising from or relating to these Terms, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days, beginning with written notice to the other party.

If the dispute cannot be resolved through negotiation, either party may submit the matter to mediation under the rules of the Istanbul Arbitration Centre (ISTAC), with proceedings conducted in Istanbul, Republic of Türkiye.

If mediation fails within 60 days of initiation, the dispute shall be resolved exclusively by the courts and enforcement offices of Istanbul European Side (Istanbul Avrupa Yakası Mahkemeleri ve İcra Daireleri), Republic of Türkiye, subject to any mandatory consumer protection provisions of your jurisdiction of residence that cannot be waived by agreement.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict-of-law principles. If you are a consumer in the European Union, you also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable mandatory local law.

22. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated via email and an in-platform notification at least 30 days before taking effect. Non-material changes (corrections, formatting) take effect immediately upon posting.

Your continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use and terminate your Account before the effective date.

23. General Provisions

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TradeMire regarding the Platform.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TradeMire may assign its rights and obligations to an affiliate or successor in connection with a merger, acquisition, or sale of assets.

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TradeMire.
